LICENSED APPLICATION END USER LICENSE AGREEMENT

1. Acceptance of Terms
By downloading, installing, or using the Liaise mobile application (the "App") or any related services (the "Services"), you agree to be bound by these terms and conditions (the "Agreement"). If you do not agree to these terms, you must not use the App or Services.

2. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use the App and Services. By using the App, you represent and warrant that you meet this eligibility requirement.

3. License Grant
Liaise grants you a limited, non-exclusive, non-transferable, and revocable license to use the App and Services for personal, non-commercial purposes. Small companies and groups of individuals with fewer than 8 employees may also use the App and Services for commercial purposes, provided all users meet the eligibility criteria outlined above.

4. User Conduct and Restrictions on Use
You agree to use the App and Services in a respectful and lawful manner. Specifically, you agree that you will NOT:

  • Use the App or Services to harass, abuse, stalk, or harm another individual in any manner.
  • Engage in any form of discrimination, hate speech, or unlawful conduct, including but not limited to discrimination based on race, gender, sexual orientation, age, disability, or religion.
  • Send or transmit sexually explicit, abusive, or otherwise inappropriate content, including but not limited to unsolicited sexual advances, sexual innuendos, or any content that may be considered sexual harassment or offensive in nature.
  • Send or solicit content of a sexual nature that is not consensual, including but not limited to sexually explicit messages, images, or videos.
  • Impersonate another person, or falsely state or misrepresent your identity or affiliation with a person or entity, particularly for deceptive or abusive purposes.
  • Collect or store personal data about other users without their consent.Content

Standards

These content standards apply to any and all User Content and use of Interactive Services. User Content must in its entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Content must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable;
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person;
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use.
  • Be likely to deceive any person;
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act;
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person;
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization;
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising; or
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

5. Prohibited Uses

You may use Liaise only for lawful purposes and in accordance with these Terms of Use. You agree not to use Liaiseor any services or materials available through the Platform:

  • For any commercial purposes;
  • To delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Platform;
  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries);
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Use;
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or user names associated with any of the foregoing); or
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform, or expose them to liability.Additionally, you agree not to:
  • Use Liaise in any manner that could disable, overburden, damage, or impair Liaiseor interfere with any other party’s use of the Platform, including their ability to engage in real time activities through the Platform;
  • Use any robot, spider, or other automatic device, process, or means to access Liaisefor any purpose, including monitoring or copying any of the material on the Platform;
  • Use any manual process to monitor or copy any of the material on the Platform, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent;
  • Use any device, software, or routine that interferes with the proper working of the Platform;
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which Liaise is stored, or any server, computer, or database connected to the Platform;
  • Attack Liaisevia a denial-of-service attack or a distributed denial-of-service attack; or
  • Otherwise attempt to interfere with the proper working of the Platform.

6. Reporting and Enforcement of Inappropriate Behavior
Liaise maintains a zero-tolerance policy toward sexual harassment, abuse, or any form of inappropriate or offensive behavior. Users are encouraged to report any incidents of harassment, abuse, or offensive content immediately by using the in-app reporting features or contacting Liaise support at hello@liaiseapp.com.

Upon receipt of a complaint or if Liaise, in its sole discretion, determines that a user has violated these terms, Liaise reserves the right to:

  • Review and investigate all reports or violations.
  • Immediately suspend or terminate the offending user’s access to the App and Services.
  • Take any further legal action deemed necessary, including cooperating with law enforcement authorities in cases of illegal behavior.

7. User Content
By submitting user content (such as profile information or work samples), you grant Liaise a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the App and Services. Liaise reserves the right to remove any content that violates this Agreement or is otherwise deemed inappropriate, harmful, or offensive.

8. No Tolerance for Inappropriate Content
Liaise strictly prohibits the posting or sharing of sexually explicit content, non-consensual intimate imagery, or any material that promotes or glorifies violence, harassment, or abuse. Any violation of this policy will result in immediate removal of the content and may lead to suspension or termination of your account.

9. Intellectual Property
All intellectual property rights in the App and Services are owned by Liaise. You may not use Liaise’s trademarks, logos, or service marks without prior written permission.

10. Privacy Policy
Liaise’s collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated by reference into this Agreement. By using the App or Services, you agree to the terms of our Privacy Policy.

11. Disclaimer of Warranties
The App and Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability
Liaise is not liable for any indirect, incidental, special, or consequential damages arising from the use of the App or Services. Liaise’s total liability for any claim arising from your use of the App or Services shall not exceed the amount you paid for such use, if any.

13. Indemnification
You agree to indemnify and hold Liaise harmless from any claims, liabilities, damages, or expenses arising from your use of the App, your violation of this Agreement, or your infringement of any third-party rights.

14. Termination
Liaise may terminate or suspend your access to the App or Services at any time, with or without notice, for any reason. Upon termination, you must cease all use of the App. Provisions of this Agreement that by their nature should survive termination shall continue to apply.

15. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association, with arbitration taking place in Los Angeles, California.

16. Changes to this Agreement
Liaise reserves the right to modify this Agreement at any time. Any changes will be effective upon posting the updated Agreement on the App. Your continued use of the App or Services after such changes constitutes your acceptance of the revised Agreement.

17. Entire Agreement
This Agreement, along with the Privacy Policy, constitutes the entire agreement between you and Liaise regarding the App and Services, superseding any prior agreements or communications.

18. Linking to the Platform and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part.

This Platform may provide certain social media features that enable you to:

  • Link from your own or certain third-party websites or applications to certain content on this Platform;
  • Send emails or other communications with certain content, or links to certain content, on this Platform; and/or
  • Cause limited portions of content on this Platform to be displayed or appear to be displayed on your own or certain third-party websites or applications.

You may use these features solely as they are provided by us, and solely with respect to the content they are displayed with, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing, you must not:

  • Establish a link from any website or application that is not owned by you;
  • Cause the Platform or portions of it to be displayed on, or appear to be displayed by, any other website or application, for example, framing, deep linking, or in-line linking;
  • Link to any part of the Platform other than the homepage; or
  • Otherwise take any action with respect to the materials on this Platform that is inconsistent with any other provision of these Terms of Use.

The website or application from which you are linking, or on which you make certain content accessible, must comply in all respects with the Content Standards set out in these Terms of Use.

You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.

We may disable all or any social media features and any links at any time without notice in our discretion.

Links from the Platform

If the Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Geographic Restrictions

The owner of the Platform is based in the State of Delaware in the United States. We provide this Platform for use only by persons located in the United States. We make no claims that the Platform or any of its content is accessible or appropriate outside of the United States. Access to the Platform may not be legal by certain persons or in certain countries. If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that any content, material, or files available for downloading from the internet or the Platform will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.
